A debt subrogation contract, is a contract in which another company or a private person is responsible for paying a debt contracted by a company or person or becoming partners in it.

It can be done through representatives, and is private.

With this debt subrogation contract, entered into by one party by “COMPUFAST. S.A. by C.V. " presenting your RFC number (859kdp65 and that has its address in Av. Campo verde number 546 local 14 and that is represented by the Mr. José Antonio Jiménez Juárez, who identifies himself with the voter's credential folio (rpe108100235lp) and as a counterpart the company “SUMINISTROS INFORMEX S.A. from C.V. " company that has its domicile at Plaza Meáve Av. Eje central Lázaro Cárdenas local 596 and that will be represented by the Lic. Rosalía Mendieta Zepeda. Who identifies himself with a voter credential folio (pizz856412lop); both parties enter into this contract in accordance with the following terms:

First.- The company "COMPUFAST. S.A. by C.V. " declares to owe “Compumega S.A. de C.V. " the following amounts:

• $ 290,000.00 (Two hundred and ninety thousand pesos M / N) stated in invoice number 568
• $ 35,720.00 (thirty-five thousand seven hundred twenty pesos M / N) found in invoice 897

Giving a total of: $ 325,720.00 (Three hundred twenty-five thousand seven hundred twenty pesos M / N)

Second.- With this contract, the company “SUMINISTROS INFORMEX S.A. de C.V. " in the hands of its representative Lic. Rosalía Mendieta Zepeda formalize their commitment to assume jointly and in solidarity, the debt referred to in the previous clause, so that as of the date, they become debtors of the indicated amount before Súper Banco S.A.B of C.V.

Third.- "SUMINISTROS INFORMEX S.A. de C.V. " expresses its full compliance with the subrogation of the debt that is the subject of this contract, acknowledging as joint and several debtors of the sum of: $ 325,720.00 (Three hundred twenty-five thousand seven hundred twenty pesos M / N) in favor of Súper Banco S.A.B. de C.V.

Bedroom.- "SUMINISTROS INFORMEX S.A. de C.V releases from said liability on the debt of $ 325,720.00 Three hundred twenty-five thousand seven hundred twenty pesos. " Visible in invoices numbers 568 and 897 adduced in the clause 1.

Fifth.- Both companies with their authorized representatives Mr. José Antonio Jiménez Juárez and Lic. Rosalía Mendieta Zepeda, agree by common agreement that on the amount of $ 325,720.00 three hundred twenty-five thousand seven hundred twenty pesos owed by the latter, there is no interest or any additional charge will apply, the payment of said debt being subject to a maximum term of 60 days or two months from the subscription of this document.

Seventh.- Any controversy, litigation or inconvenience will be solved or resolved by arbitration exclusively of the courts and jurisdiction of Mexico City, prior waiver of jurisdiction in any other place, even if there is a controversy prior acts that the parties unconditionally declare to know and accept in their integrity.
