Ramón Lucio Fernández, who identifies himself with his respective DNI RLF 698836 and who is indicated in a record as a representative of the company Payments and services Cárdenas S.A de C.V, which will be referred to hereinafter as "the company”With the parties agreeing to comply with the following clauses:

CLAUSES:

First.- "The contractor"Requires the services of account management, control and distribution of payroll payments to the employees of"the contractor”In all its branches in the country, as well as the allocation of deposits in employee accounts.

Second.- The company undertakes to keep the accounts, receive the payroll and make the deposits of the employees of the contractor.

Third.- The contracting party will be responsible for providing the data, and the capital necessary for her to carry out the appraisals and the corresponding deposits to the employees, of "the contractor”.

Quarter.- "The company" is committed to delivering clear accounts and submitting monthly reports of each payment and semi-annual accounts of the general statement of accounts.

OBJECTIVE OF THE CONTRACT

A.- The company must make the payments, increases and collect the commissions and loans corresponding to each employee, as well as manage the payroll account of the contractor for the timely payment of the salaries.

B.- The contracting party will pay a commission consisting of 225,000.00 (two hundred twenty-five thousand pesos), monthly as payment of the loan of services of this contract.

CHARACTERS AND WAY OF PROVIDING THE SERVICE

The contracting company will deliver the list of employees, branches and amounts to be paid to each employee, with a deposit corresponding to the assigned by the contracted company, which is empowered to redistribute payments electronically to each employee or grant checks corresponding.

OBLIGATIONS AND POWERS OF THE PARTIES

1.- The contracted company or the contracting party may terminate this contract thirty days in advance.

2.- The parties will agree upon signing this contract to renounce all jurisdiction at the national, accommodating for any controversy exclusively to the courts of the District Federal.

MORATORY PENALTY

This contract will be terminated in the event that on more than three occasions, any of the parties fail to fulfill the specified task.

In the first two occasions, the offending party will pay a compensation of 100% of the agreed monthly payment.

In accordance with the provisions of this contract, the parties will sign with their representatives as well as two witnesses and a notary who will attest to what has been stated and contracted here.
