Transfer Agreement Example

A transfer contract, has the mission of assigning the use with its rights to another person, in relation to a specific asset.

In this contract the situation presented by the object of the transfer remains entirely the same; and in case of being rented, the person who acquires the rights and obligations must continue to pay said income, and if there is a turn in said object, it is transferred in the same way.

A transfer contract, can be celebrated between individuals or between legal entities.

TRANSFER CONTRACT

Contract of Transfer of rights and obligations that is exercised by reason of a commercial premises located in Av. Cuauhtemoc number 40 Col Industrial Ecatepec Estado de México. Which is dedicated to the sale of Groceries.

STATEMENTS:
From "THE ASSIGNOR"

TO. “THE ASSIGNOR” declares to be the owner of the rights that guarantee the object of this contract

B. "THE ASSIGNOR" declares to have his domicile at Calle Miguel Hidalgo Number 78 col Antllan, Iztapalapa Delegation, who identifies himself with Identity Card number 3215.

C. He declares that it is his wish to transfer the business called "Abarrotes La Concha" which is dedicated to the sale of articles of alimentary consumption and that is located in Av. Cuauhtemoc number 40 Col Industrial Ecatepec State of Mexico.

D. She declares that the name "Abarrotes La Concha" is the property of "THE ASSIGNOR" who agrees to assign the use of it for a period of 5 years, which is the duration of this contract.

AND. This business operates in accordance with the provisions of the regulations for commercial establishments, currently in force in the Federal District with the registry (put the corresponding registry) in which the surface of 50 m2 is declared.

F. This business is duly authorized to sell alcoholic beverages and cigarettes to people with official identification.

G. The premises, object of this contract, has the following inventory:

1. Running water in direct connection
2. Three-phase light installation
3. Lighting with low consumption led spotlights
4. Sanitary facilities in perfect conditions of use
5. Four industrial-type refrigerators

H. There is a lease agreement signed with the owner of the property, Mr. Jesús Clemente Fernández, which was signed on August 1, 2009; having a duration of 10 years and a cost for the rental of the premises of $ 8,000.00 (eight thousand pesos M / N 00/100)

I. It does not present any debt, electricity, water, rent, taxes, suppliers or partners; fact that can be verified with the corresponding annexes.

J. Agree with the owner of the premises that is the object of this contract, who is fully aware and clear of this.

From "THE ASSIGNEE":

TO. "EL CECIONARIO" "Comixmex S.A de C.V". Represented by Lic. Adriana Solares Rojas, declares that she has her address at Av. Aragón number 748 Col. Venusiano Carranza Del Magdalena Contreras. Mexico Federal District.

B. He knows and recognizes the obligations in relation to the lease and payment of rent, contributions and services that this contract declares.
C. He is fully aware of the turn and use of the land of the commercial premises
D. He is fully aware of the furniture and accessories available at the turn.

CLAUSES:
Objective.

First.- With this contract and in this act, “Abarrotes La Concha” is transferred by “THE ASSIGNOR” in favor of “Comixmex S.A de C.V”. as "EL CECIONARIO" including all its accessories.

Second.- “THE ASSIGNOR” will deliver to “THE ASSIGNOR” the amount of $ 360,000.00 (Three hundred and sixty thousand pesos M / N) by means of a cashier's check payable to the “ASSIGNOR”.

Third.- "THE CECIONARY" is fully aware and accepts the obligations stated above to the that "THE ASSIGNOR" was linked in relation to the rent, suppliers and providers of services.

Fourth.- The expenses for this contract will be borne by "THE ASSIGNEE".

Sixth.- It is fully clear to conserve, maintain and follow the name and business of "Abarrotes la concha" as well as respect the jobs of its workers.

Seventh.- In case of inconveniences, controversies or legal matters related to this contract and its actions in the jurisdiction of the federal district as well as its courts, fully renouncing any jurisdiction, either by residence or change of address.

Eighth.- In this contract, the parties declare that there is no fraud or bad faith.

Ninth.- The address indicated above by both parties is the one that will be used for any notification.

Having read this contract to the parties and one person per party being present as witnesses, it is signed.
