Example of Termination of Contract Due to Breach

Notice of contract termination

Present:

I, Fernanda Garrido Torres, present this notice to inform the irrevocable decision to terminate this contract, based on the following:

On June 22, 2011, a contract was signed that obliged Peleteros-distributors del sur S.A de C.V, to perform services consisting of:

• Fur delivery
• Leathers for soles
• Synthetic soles
• Thread and
• Glues

And since it has not fully complied with these commissions, especially the delivery of the leather for manufacturing and having made mistakes in its process and culmination by not delivering the other materials in a complete way, it has been decided to definitively end with said agreement.

For greater awareness these errors are clarified:

1. The leather for the manufacture of footwear or clothing is not delivered in its entirety
2. The tanning has certain errors, especially in the finish.
3. The glues delivered are poorly packed or fractured in their transport, which causes them to dry before proper use.
4. The leather sole is poorly manufactured
5. Deliveries are outside the agreed times
6. Although the deliveries were during the first year in a timely manner and with optimal quality regimes, with the passage of time it has diminished until it became completely deficient.

Attentive to the above, and with the powers that by law exist to finalize a contract that is obsolete, we proceed to the formal termination of it.

This act will be carried out unilaterally and definitively, leaving the contractual and employment relationship with said service lender completely null and void from this date.

And as the legal representative of Calzado-Premium S.A de C.V, I sign this to notify said resolution.
