Example of Contract of Assignment of Rights

A rights transfer contract, It is a contract in which a party assigns the rights that he may have to something, be it a right in itself or a material article to another person.

In this contract, the party that delivers the aforementioned rights is known as the ASSIGNOR and the person who receives the rights as the ASSIGNOR.

It can be carried out by a natural person or by a legal person who must be duly identified.

Example of contract for the transfer of rights:

STATEMENTS:

II. "The Assignee" declares:

a) Have fully established rights in accordance with the provisions of national laws, as well as be part of the company “Salas Morgana S.A. de C.V., ". as evidenced by public deed number 69856 dated May 36, 2003, which is ratified by Lic. Manuel Esperon Méndez notary public number 563 of Mexico City Federal District.
b) Have its legal address in Mexico City at Calle Monte Bello number 36 col Riveles Del Istacalco.
c) Have the legal powers in accordance with the provisions of this same declaration and agree to receive the total (100%) of the rights.
d) The rights that are specified in Annex "A" which is attached to this contract, as well as the effects derived therefrom.

III. The parties declare that they are in agreement and it is their wish to enter into this contract in accordance with the following clauses:

CLAUSES:

First.- "The Assignor" grants in favor of "THE Assignee", all the rights of him who will assume 100% (one hundred percent) of the rights and obligations over the rights established in Annex "A" added to this contract, and also with any part of the right or circumstance that corresponds to what same.

Second.- The total amount of the rights added is 50,000,000.00 (FIFTY MILLION PESOS M / N) which are broken down and specified in Annex "A" of this contract

Third.- "The Assignee" is obliged to cover the price of the rights assigned to "THE ASSIGNOR" which will be deposited in the banking institution whose data is presented below:

a) Bank: (bank name)
b) Type and number of account: (insert corresponding data)
c) Name of the account holder: (Put the name of the right holder)
d) The deposit voucher or bank card will act as a payment receipt for the legal effects that may arise.

Quarter.- The parties to this contract agree to:

a) "The Assignor" is obliged to provide any information that is necessary or required in relation to the titles of the "RIGHTS" subject of this contract as well as any information that is found or necessary.

Fifth.- "THE ASSIGNOR" undertakes to sign all the documents necessary for the process to be carried out. procedure required in order to comply with the legal formalities for compliance with this contract.

Sixth.- The parties indicate in this subsection the legal addresses to receive any notice or notification:

Seventh.- Each one of the parties will pay the corresponding rights in aliquot form in relation to this contract.

Eighth.- "The Assignor" will issue and deliver to "THE ASSIGNEE" the tax receipts that certify the acquisition of the goods subject to This counter-approach is in accordance with articles 29 and 29-A of the Federal Tax Code and other tax provisions applicable.

Ninth.- The two parties to this contract assert that there is no fraud, or bad faith, of any kind that vitiates the will of the parties or may vitiate it.

Tenth.- In the event of any controversy, both parties explicitly agree to submit to the jurisdiction of the courts of the Mexico City Federal District.

After having read this contract to the parties, and having as witnesses Messrs. Alfonso Corona Rivas and Gabriel Contancio Lugo copy will be signed in duplicate in Mexico D.F. to June 25, 2012.
