A commercial commission contract, is a contract in which an action, faculty or function is commissioned to a person, company or institution.

In this contract, a faculty is delegated trade to a person or institution to carry out activities on behalf of the contractor.

The principal is the person who delegates the function and the agent who receives the function or obligation.

COMMERCIAL COMMISSION CONTRACT

Contract entered into by one party by Componentes Contreras S.A. de C.V., which is represented by Mr. (José Manuel Méndez Morales), a person who successive will be called "COMMITTEE" and as contracted to (Electrónica Farías S.A.) represented by (Manuel Mendieta Pérez), who will be called "COMMISSIONIST":

Declarations:

The "Principal" declares:

The Commissioner declares:

The parties declare the following:

To govern this contract, both parties submit to:

a) The laws and codes that emanate from the constitution and commercial code of the federal district.

b) The clauses of this contract.

In accordance with the foregoing, and recognizing the value of this contract, both parties submit to the following:

CLAUSES:

FIRST.- The personality of both parties is mutually recognized and fully complying with the value and obligations of this contract.

SECOND.- The parties agree to dissect themselves in an ordinary way to the trade, assuming the current legislation, especially the articles (Put the corresponding articles).

THIRD.- This contract will be valid for the duration of the commission entrusted and is not indefinite and renewable in accordance with the prior agreement of the parties.

ELEVENTH.- In case of conflicts, problems or deficiencies, "THE COMMISSIONER" will respond to "THE COMMITTEE" for the operations made with violation, excess or defect of

TWELFTH.- In the event of theft, damage or discord, the contracted company undertakes to inform and respond to the contracting party and if he does not do so, he will be subject to this contract and the laws corresponding.

THIRTEENTH.- "THE COMMISSIONER" will deliver reports in the time and form established to the contracting company.

 FOURTEENTH.- The commission agent will refrain from carrying out commercial acts that are not linked to this contract.

FIFTEENTH.- the contracting party and the contracted party agree that the parties to which the payments and Transactions will be carried out on the _____________ day of each month and will become effective the day after signed.

EIGHTEENTH.- The contracted company may, if required, present a bond that guarantees the cost of the work performed; this in case of having been required.

NINETEENTH.- If required, the contracting company will issue a guide or operations manual, which must be delivered in a timely manner.

TWENTY.- The contracted company will have the power to grant invoices or similar corresponding documents, always in accordance with the law and the provisions of the contract.

After having read this contract, and after being aware of the parts of its content, it will be signed by the representatives.
